GENERAL
Tokwiro Enterprises, ENRG (“Tokwiro”), requires its designated Contractors, officers and Employees to observe high standards of professionalism and ethical conduct. In order to carry out its responsibilities to its customers and other constituents, Tokwiro has adopted this Whistleblower Policy (the “Policy”).
NO RETALIATION
No Contractor, officer or Employee who in good faith reports a violation or suspected violation of any applicable policy, regulation, or law affecting Tokwiro (an “Irregularity”) shall suffer harassment, retaliation or adverse employment or contracting consequence. A Contractor, officer or Employee who retaliates against someone who has reported an Irregularity in good faith is subject to discipline including potential termination of employment or consulting position. This Whistleblower Policy is intended to encourage and enable Employees, consultants and others to raise serious concerns affecting Tokwiro rather than seeking other resolution or not reporting Irregularities.
REQUIREMENT TO REPORT VIOLATIONS
It is the responsibility of all designated consultants, officers and Employees to report all suspected Irregularities in accordance with this Whistleblower Policy. Tokwiro maintains an open door policy and suggests that persons share their questions, concerns, suggestions or complaints with someone who can address them properly. In most cases, an Employee’s or Contractor’s supervisor is in the best position to address an area of concern. Such supervisor may be more knowledgeable about the issue and will appreciate being brought into the process. It is the supervisor’s responsibility to help the Employee to solve the problem.
However, if an Employee or Contractor is not comfortable speaking with his or her supervisor, or if the Employee or Contractor is not satisfied with his or her supervisor’s response, that Employee or Contractor is encouraged to speak with anyone in the management of his or her company or Tokwiro whom he or she is comfortable in approaching. Supervisors and managers are required to report suspected Irregularities to the chief officer of Tokwiro or his designee.
INVESTIGATION
Tokwiro’s chief officer or his designee is ultimately responsible for investigating and resolving all reported complaints and allegations concerning Irregularities. Such persons may retain independent legal counsel, accountants or others to assist in its investigations.
GOOD FAITH REQUIREMENT
Anyone filing a complaint concerning a suspected Irregularity must be acting in good faith and have reasonable grounds for believing the information disclosed indicates an Irregularity. Any allegations that prove not to be substantiated and which prove to have been made maliciously or knowingly to be false will be viewed as a serious disciplinary offense.
CONFIDENTIALITY
Complaints or submissions concerning a suspected Irregularity may be submitted on a confidential basis by the complainant or may be submitted anonymously. All complaints or submissions will be kept confidential to the extent possible, consistent with the need to conduct an adequate investigation.
